Terms of Use
In short
These terms govern your use of takeoverall.com. The website is informational — we do not sell anything or take payments here. Our services are only provided under a separate written agreement, and our courses (once launched) will be sold by third-party platforms under their own terms. You may use the site for lawful purposes; our content stays ours. The site is provided "as is", our liability is limited, and most disputes are resolved by individual arbitration under Wyoming law unless the law where you live gives you rights that cannot be waived.
This summary is for convenience. The full text below is what applies.
1. Who we are and what these terms cover
This website, takeoverall.com (the "Website"), is operated by TAKE OVER ALL LLC, a Wyoming limited liability company with its registered address at 30 N Gould St #40422, Sheridan, WY 82801, USA ("Take Over All", "we", "us" or "our"). Our day-to-day operations are run from Istanbul, Türkiye.
These Terms of Use (the "Terms") form a binding agreement between you and us and govern your access to and use of the Website, including any content, forms and features on it. They are supplemented by our Privacy Policy, Cookie Policy, Acceptable Use Policy, Disclaimer and Copyright & Trademark Policy, each of which is incorporated into these Terms by reference.
By accessing or using the Website, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the Website. If you use the Website on behalf of a company or other organization, you represent that you have authority to bind it, and "you" includes that organization.
Please read Section 16 (Dispute resolution) carefully. If you are located in the United States, it requires most disputes to be resolved through individual binding arbitration rather than in court, and it waives class actions and jury trials. You may opt out within 30 days as described in Section 16.7.
2. Eligibility
The Website is intended for business users and adults. You must be at least 18 years old, or the age of majority where you live if higher, to use it. The Website is not directed to children, and we do not knowingly collect personal information from anyone under 16 (see our Privacy Policy).
3. What the Website is — and is not
The Website describes our company, the services we provide to businesses and our upcoming educational content. It is not an online store. Specifically:
- No sales or payments. We do not sell products or services, accept orders or process payments through the Website. Nothing on the Website is an offer capable of acceptance, a binding quote or a guarantee of availability, price or results.
- Client services are contracted separately. Any services we provide (such as AI integration, automation, software, website, mobile, infrastructure, data or integration work) are provided only under a separate written proposal, statement of work or agreement signed or accepted by both parties, which incorporates our Client Terms of Engagement unless it expressly says otherwise. If there is a conflict between these Terms and such an agreement, that agreement prevails for the services it covers.
- Courses are sold by third parties. Our courses and digital learning materials are not on sale yet. When they launch, they will be sold through third-party platforms (for example Udemy or Gumroad). Your purchase, payment, access, refunds and any account on such a platform are governed by that platform's own terms and policies, which you should read before buying. We are not responsible for a third-party platform's services.
- Descriptions are general. Service descriptions, examples, timelines (for example "usually 3–5 business days") and capabilities shown on the Website are illustrative and may change. They do not form part of any agreement unless expressly included in one.
4. Changes to the Website and to these Terms
We may change, suspend or discontinue any part of the Website at any time without notice or liability. We may update these Terms from time to time. The "Effective" date above shows when they were last updated. Changes apply from the date they are posted, except that changes to Section 16 will not apply to any dispute of which we had actual notice before the change. Your continued use of the Website after changes are posted means you accept them. If you do not agree to updated Terms, stop using the Website.
5. Contact forms, waitlists and communications
The Website offers a contact form and an optional course waitlist. When you use them:
- You agree to provide accurate information and not to submit anyone else's personal data without their permission.
- Do not send confidential, sensitive or regulated information (such as passwords, payment card data, health data or government identification numbers) through the Website. Unless we have signed a separate confidentiality agreement with you, information you send through the Website is not treated as confidential and does not create any obligation on our part, other than those set out in our Privacy Policy.
- Submitting a form does not create a client relationship, an obligation to respond or an obligation to provide services.
- If you join the waitlist, you consent to receive emails about our courses. You can unsubscribe at any time using the link in any email or by writing to support@takeoverall.com.
You agree that we may communicate with you electronically, and that agreements, notices and other communications we provide electronically satisfy any legal requirement that they be in writing, as permitted by the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and similar laws.
6. Our intellectual property
The Website and all of its content — including text, graphics, code, 3D scenes, animations, interfaces, the "Take Over All" name, the TOA logo and other marks — are owned by or licensed to TAKE OVER ALL LLC and are protected by copyright, trademark and other laws of the United States and other countries. Except for the limited license in Section 7, no rights are granted to you, whether by implication, estoppel or otherwise. All rights not expressly granted are reserved.
Names and logos of third parties (including businesses listed as references) belong to their respective owners. Their appearance on the Website identifies businesses we have worked with and does not imply that they endorse the Website or are responsible for its content.
7. Limited license to use the Website
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Website for your personal or internal business purposes, such as learning about our services and contacting us. You may print or save a reasonable number of pages for those purposes, provided you keep all copyright and other notices intact.
8. Restrictions
You may not, and may not allow anyone else to:
- copy, modify, distribute, sell, lease or create derivative works from the Website or its content, except as allowed in Section 7;
- use bots, scrapers, crawlers or other automated means to access, collect or index content from the Website, except for search engines that follow our
robots.txt, or use Website content to train, fine-tune or evaluate machine-learning or AI models; - reverse engineer, decompile or attempt to extract source code, models or shaders from the Website, except to the extent applicable law expressly permits it despite this restriction;
- probe, scan or test the vulnerability of the Website or our systems, or breach or circumvent any security or authentication measure, without our prior written permission;
- interfere with or disrupt the Website, for example through denial-of-service attacks, excessive requests or malicious code;
- frame or mirror the Website, or use our name, logo or marks in a way that suggests affiliation or endorsement without our written permission;
- use the Website in breach of our Acceptable Use Policy or any applicable law.
If you believe you have found a security vulnerability, please report it responsibly to support@takeoverall.com and do not exploit it or disclose it publicly until we have had a reasonable opportunity to address it.
9. Feedback
If you send us ideas, suggestions or feedback about the Website or our services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you. You are not required to send Feedback.
10. Third-party websites and services
The Website links to third-party websites (for example the websites of businesses we have worked with, or course platforms). We do not control those sites and are not responsible for their content, policies, availability or practices. Visiting them is at your own risk and subject to their terms.
11. Disclaimers
THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and any warranties arising from course of dealing or usage of trade. We do not warrant that the Website will be uninterrupted, secure or error-free, that defects will be corrected, or that content is accurate, complete or current. Content on the Website is general information, not professional advice — see our Disclaimer.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- IN NO EVENT WILL TAKE OVER ALL LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, whether based on contract, tort (including negligence), strict liability or any other theory, even if we have been advised of the possibility of such damages.
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Because the Website is provided free of charge, you agree this limit is reasonable.
These limitations apply even if a remedy fails of its essential purpose. They do not limit liability for fraud, for gross negligence or willful misconduct, for death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law. Liability for services we provide under a separate agreement is governed by that agreement, not by this Section.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless TAKE OVER ALL LLC and its members, managers, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms or our policies, (b) your misuse of the Website, or (c) your violation of any law or the rights of any third party. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us. This Section does not apply to consumers to the extent prohibited by the law of their place of residence.
14. Suspension and termination
We may suspend or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms or to protect the Website, our systems or others. Sections 6, 8, 9 and 11 through 19 survive any termination.
15. Export controls and sanctions
You may not use the Website or our services in violation of U.S. export control or economic sanctions laws, including the Export Administration Regulations and regulations administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on, or owned or controlled by anyone on, any U.S. government restricted-party list.
16. Dispute resolution
16.1 Informal resolution first
Before starting any formal proceeding, you and we agree to try to resolve any dispute, claim or controversy arising out of or relating to the Website or these Terms (a "Dispute") informally. The party raising the Dispute must send the other a written notice describing it and the relief sought — to us at support@takeoverall.com and our registered address. If the Dispute is not resolved within 30 days after the notice is received, either party may proceed as set out below.
16.2 Binding individual arbitration (United States)
If you reside in the United States, you and we agree that any Dispute that is not resolved informally will be resolved exclusively by final and binding arbitration on an individual basis, except as provided in Sections 16.4 and 16.7. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (if you are an individual using the Website for personal purposes) or its Commercial Arbitration Rules (in all other cases), as in effect when the arbitration is filed. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this Section 16. The arbitrator, not any court, will decide questions of arbitrability, except that a court will decide any question about Section 16.3.
The arbitration will take place by video conference or in Sheridan County, Wyoming, unless the parties agree otherwise or the applicable AAA rules require a location closer to you. The arbitrator may award the same individual relief a court could award, consistent with these Terms. Payment of filing and arbitrator fees will be governed by the AAA rules; for consumer arbitrations, we will pay any fees that the AAA rules require a business to pay.
16.3 Class action and jury trial waiver
YOU AND WE EACH AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and heard in court, and Section 16.2 will not apply to it.
16.4 Exceptions
Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or to stop unauthorized access to systems, pending a final decision.
16.5 Parties outside the United States
If you do not reside in the United States, any Dispute not resolved informally will be resolved exclusively by the state or federal courts located in the State of Wyoming, and you and we consent to their personal jurisdiction. However, if you are a consumer resident in the European Union, the United Kingdom, Türkiye or another country whose law gives you the right to bring proceedings in the courts where you live, nothing in these Terms removes that right, and you also benefit from any mandatory protections of the law of your country of residence.
16.6 Time limit
To the extent permitted by law, any claim must be brought within one (1) year after the claim arises; otherwise it is permanently barred.
16.7 Your right to opt out of arbitration
You may opt out of the arbitration agreement in Section 16.2 by sending an email to support@takeoverall.com with the subject "Arbitration Opt-Out" within 30 days after you first use the Website, stating your name and your intention to opt out. Opting out does not affect any other part of these Terms.
17. Governing law
These Terms and any Dispute are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and, where applicable, by U.S. federal law, including the Federal Arbitration Act. This choice of law does not deprive consumers of the protection of mandatory provisions of the law of their country of residence.
18. General
- Entire agreement. These Terms and the policies referred to in them are the entire agreement between you and us about the Website, and supersede any prior understandings about it. They do not replace any separate written agreement for services.
- Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them, for example in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
- No third-party beneficiaries. These Terms do not confer rights on any third party, except as stated in Section 13.
- Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.
- Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation".
